Terms of Service

Effective Date: September 1, 2025

These Terms of Service ("Terms") govern your access to and use of AB Dock and any related services provided by Berwoods LLC ("Berwoods," "we," "us," or "our"). By accessing or using AB Dock, you agree to be bound by these Terms.

1. Eligibility and Account Responsibilities

You must be at least 18 years old and authorized to act on behalf of your organization to use AB Dock. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

2. Permitted Use

Subject to these Terms, we grant you a non-exclusive, non-transferable license to use AB Dock for your internal business purposes. You agree not to:

• Access or use the service for unlawful or fraudulent purposes;
• Attempt to reverse engineer, decompile, or disassemble any part of AB Dock;
• Interfere with or disrupt the integrity or performance of the service;
• Access the service to build a competing product or service.

3. Amazon Business Integration

AB Dock connects to your Amazon Business account using authorized APIs. Your continued access requires compliance with:

• Amazon's Business Solutions Agreement;
• Amazon's API terms and policies;
• All applicable laws and regulations governing your organization's use of Amazon Business.

4. Subscription, Billing, and Cancellation

Fees for AB Dock are billed monthly in advance based on the addresses you monitor. Subscription details are provided during checkout. You may cancel at any time, but fees paid are non-refundable. Access continues through the end of the current billing period.

5. Data Practices

We collect and use account data to deliver and improve the service in accordance with our Privacy Policy. You are responsible for obtaining all necessary consents from your organization and users whose data is processed through AB Dock.

6. Service Availability and Support

We aim to provide continuous service availability but do not guarantee uninterrupted access. Planned maintenance or unforeseen outages may temporarily affect availability. Support is available via the contact methods listed below.

7. Intellectual Property

All intellectual property rights in AB Dock, including software, documentation, and branding, are owned by Berwoods LLC. You receive no ownership interest and may not remove proprietary notices.

8. Confidentiality

Both parties agree to use reasonable care to protect each other's confidential information disclosed in connection with the service. This obligation survives termination of these Terms.

9. Disclaimers and Limitation of Liability

AB DOCK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERWOODS LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA ARISING FROM YOUR USE OF AB DOCK.

10. Indemnification

You agree to indemnify and hold harmless Berwoods LLC and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the service or violation of these Terms.

11. Termination

Either party may terminate access to AB Dock at any time. Upon termination, you must cease all use of the service. Sections of these Terms that by their nature should survive termination will remain in effect.

12. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws principles. Any disputes will be resolved in the state or federal courts located in Denver, Colorado.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use after changes constitutes acceptance of the revised Terms.
